TERMS AND CONDITIONS VENTISCLUB



Definitions

The terms and expressions with an initial capital letter, without distinction between singular and plural, have the meaning indicated below unless otherwise specified:

  • Cashback: indicates the discount for purchases on VENTIS that the Customer is entitled to benefit from under the conditions and terms provided by the General Conditions;
  • Customer: indicates the subject who makes purchases through VENTIS;
  • General Conditions: indicates these General Conditions and any updates/modifications that may occur for the regulation of the Loyalty Program;
  • Registration Date: indicates the date and time when the Customer creates an account on VENTIS;
  • Program Start Date: indicates the date from which VENTIS made VentisCLUB available to Customers;
  • Wallet: indicates the "virtual wallet" accessible by the Customer through their personal area within the "Ventis Credit & Coupons" section on VENTIS, showing the amount of accumulated Cashback;
  • VentisCLUB and/or Loyalty Program: indicates the loyalty program managed by VENTIS srl and governed by the General Conditions;
  • Cashback Expiry: indicates the final term (date) by which the Customer will be able to use the accumulated Cashback;
  • Level Validity Period: indicates the 12-month period during which the Customer's level remains active; this period starts (i) from the Registration Date, in the case of initial assignment of the BASIC level; (ii) from the day following the purchase or the expiration of the previous validity period, in cases of upgrade, maintenance, or downgrade of the level;
  • Period Spending: indicates the total spending made by the Customer on VENTIS during the Level Validity Period;
  • Website: indicates the website identified by the URL ventis.com;
  • VENTIS: indicates the online sales platform accessible from the Website or the App.;
  • VENTIS srl: indicates the company VENTIS srl with legal headquarters at via Urbinati, 7, Bellaria Igea Marina, RN tax code and registration number in the Business Register: 06853120969.
  1. VentisCLUB

VentisCLUB is the loyalty program that allows Customers to obtain up to 4% Cashback and other benefits based on the volume of purchases made on VENTIS, according to the levels and conditions indicated in these General Conditions.

VentisCLUB is governed by these General Conditions.

VENTIS Srl is the creator and promoter of the activities available on VENTIS and the VentisCLUB service.

The General Conditions integrate the Legal Terms and the Cookie policy published on the ventis.com website.

  1. How to join VentisCLUB 

By registering on VENTIS, the Customer automatically accesses VentisCLUB and is assigned to the BASIC level. The Level Validity Period (12 months) for the BASIC level begins from the Registration Date.

The section dedicated to VentisCLUB is available in the Customer's personal area, accessible via the web or through the mobile application.

The matured Cashback (if provided by the level) can be viewed in the personal Wallet and can be used during checkout under the terms indicated in these General Conditions.

  1. How the level and Cashback are determined 

The Customer's level is determined based on the Period Spending made during the Level Validity Period. The program levels are: BASIC, GOLD, PLATINUM, and DIAMOND.

Basic Customer is the Customer assigned to the BASIC level. No Cashback is provided for this level of Customers.

Gold Customer is the Customer who achieves a total Period Spending between €300 and €599.99. The Gold Customer accrues 1% Cashback.

Platinum Customer is the Customer who achieves a total Period Spending between €600 and €1,499.99. The Platinum Customer accrues 2% Cashback.

Diamond Customer is the Customer who achieves a total Period Spending equal to or greater than €1,500. The Diamond Customer accrues 4% Cashback.

Level Update. The Customer's level can be updated during the Level Validity Period, upon reaching the above thresholds. The level update takes place the day after reaching the threshold.

At the end of the Level Validity Period, the level is updated based on the Period Spending made: the level can be confirmed, increased, or reduced by one level. The level update takes place the day after the expiration of the Level Validity Period.

In case of level update (upgrade, maintenance, or downgrade), the Period Spending and the related reference period are reset and a new 12-month Level Validity Period starts according to the rules indicated in the Definitions.

Calculation of Period Spending. The Period Spending is calculated on the total of items purchased net of shipping, returns, order discounts, and coupons. Canceled orders are not included in the calculation of Period Spending. Payments made using BCC CARD/VENTIS CARD are also excluded. The use of Wallet funds does not contribute to the calculation of Period Spending.

For each Customer, a maximum of 300 euros of Cashback can be accumulated during each Level Validity Period.

  1. Credit and use of Cashback

Cashback is credited to the Customer upon completion of each eligible order, in the form of credit of the corresponding amount to the personal Wallet.

Cashback is calculated based on the total price of the order items net of shipping, discounts, and the use of Wallet funds.

The credited Cashback is usable exclusively in the form of credit for purchases made on VENTIS within three months from the credit date and can be used during checkout.

In the section of the personal area dedicated to VentisCLUB, the Customer can always verify (a) the current membership level; (b) the Period Spending; (c) the spending required to reach the next level (if applicable); (d) the spending required for level maintenance (if applicable).

The Cashback expiry will be visible in the Wallet, by accessing in your personal area within the "Ventis Credit & Coupons" section.

The obtained Cashback can be used exclusively with your personal account and cannot be transferred to other accounts in any way.

If an order that generated a Cashback generates a refund for the user (cancellation by Ventis or return), the Cashback will be reversed for the refunded portion.

  1. Modification of General Conditions – suspension and/or interruption of the Loyalty Program

VentisCLUB is a benefit provided in favor of VENTIS Customers. Consequently, VENTIS srl reserves the right, at any time, to modify the General Conditions and will inform the Customer of the changes introduced in the manner it deems most appropriate (for example: by publication on the Website and/or via individual communications, via email, sms, etc.). The version of the General Conditions applicable to the Loyalty Program will be the one available on the Website. All modified versions of the Program's General Conditions will apply from the time of their publication on the Website.

VENTIS srl may suspend or terminate, temporarily or permanently, the Loyalty Program, for any reason at its sole discretion. The suspension or termination of the Loyalty Program will take effect from the date of publication on the Website.

The Customer will be informed of any suspension and/or termination of the Loyalty Program by sending an email that will inform and invite them to connect to the Website.

The suspension or termination of the Loyalty Program will not entitle the Customer to any type of compensation, but the Customer will be allowed to use the Cashback already credited to the Wallet within the relative Expiry.

If the Customer deletes their account on VENTIS, the accrued but unused Cashback, as well as any further benefits eventually granted and not yet used, will be deemed waived and will be automatically and immediately lost.

In case of cessation of VentisCLUB by the company, VENTIS Srl assumes no responsibility for the unused Cashback by participants or for the loss of other benefits related to the program.

  1. Personal data processing

The Customer's personal data collected in relation to participation in the VentisCLUB Program will be processed by VENTIS srl for the following purposes:

  1. to manage the VentisCLUB Loyalty Program as well as to assign benefits strictly related to the aforementioned program;
  2. for direct marketing initiatives (for example: sending advertising material, communication of promotions on products similar to those purchased);
  3. for conducting market surveys and analysis of purchasing and consumption habits (creation of customer profiles) also through communications sent via email.

The data processing for the purposes referred to in point 1. above is necessary for participation in the Loyalty Program, pursuant to art. 6 first paragraph letter b) GDPR. Instead, it is necessary to acquire the specific consent of the Customer, pursuant to art. 6 letter a) GDPR, for the purposes referred to in points 2. and 3. above. Consent for these treatments is optional, with the consequence that the Customer may decide not to provide consent, still joining the Loyalty Program. However, to receive information related to the Loyalty Program, updates, and personalized proposals, the Customer must authorize VENTIS to process their data for marketing purposes.

The data will be processed with IT and paper tools and protected at every stage of processing by adopting appropriate security measures.

The personal data provided may be made accessible, pursuant to article 13 of the GDPR:

- to employees, collaborators, and consultants of VENTIS srl;

- commercial partners and service providers;

- to other companies belonging to the VENTIS group, even with offices in other EU countries;

- to subjects or companies responsible for managing and maintaining VENTIS's IT and web platform and external providers through which the advertising and promotional material sending services for which consent has been given are provided;

- to subjects, entities, or authorities to whom the communication of personal data is mandatory by law or by orders of the authorities.

The data will be stored (in electronic or paper archives) for the entire duration of the membership/participation in the Loyalty Program and for administrative purposes only (except for specific legal obligations on the retention of accounting documentation pursuant to art. 2220 c.c.) for the subsequent 12 months, or until the possible revocation of the Customer's consent.

The Customer may exercise at any time the rights referred to in art. 7 of the Privacy Code and art. 15 and ss. of Regulation (EU) 2016/679 (including, by way of example, obtaining confirmation of the existence of data concerning the Customer and their communication in an intelligible form, the indication of the origin of the data, the purposes and methods of processing, the updating, correction or integration of data, deletion), by writing to VENTIS srl with legal headquarters in Rimini, Via Marecchiese n. 275/C or by opening a ticket in the "Contact us" section within their personal profile.

At any time, the Customer may object to the processing of their data, including the email address, for the sending of advertising material, direct sales, market research, or commercial communications by the Joint Controllers, or in the ways described above.

  1. Applicable law and Jurisdiction

Any dispute related to the execution or interpretation of the Program's General Conditions is governed by Italian law, and for any dispute concerning the interpretation and/or execution and/or resolution of the Program's General Conditions, the court of Milan will be exclusively competent, except for different competence possibly established by mandatory unchangeable rules.
